No account is required to use Aegis BI. The Service operates without individual user sign-in: your data is stored on your own device, and any subscription is tied to an anonymous device identifier rather than a personal account.
These Terms of Service ("Terms") are a binding agreement between you (and the organization you represent) and Athena Analytics LLC ("Athena," "we," "us") governing your access to and use of Aegis BI and the Glaukos AI engine (the "Service"). By accessing or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
PLEASE READ SECTIONS 6 (NO PROFESSIONAL ADVICE), 7 (ASSUMPTION OF RISK), 12 (DISCLAIMERS), 13 (LIMITATION OF LIABILITY), 14 (INDEMNIFICATION), AND 18 (DISPUTE RESOLUTION; CLASS-ACTION WAIVER) CAREFULLY — THEY LIMIT OUR LIABILITY, ALLOCATE RISK, AND AFFECT HOW DISPUTES ARE RESOLVED.
In short
You keep ownership of everything you upload; we only process it to run the Service for you. Aegis BI is analysis software, not financial, legal, or tax advice — always check its numbers before acting on them, because AI output can be wrong. Aegis BI Pro is a monthly or yearly auto-renewing subscription you can cancel at any time, and you keep access through the period you have paid for. Free and trial use carries smaller usage allowances than Pro — the Service tells you the limit when you reach it. Our liability is capped, and disputes are handled by individual arbitration unless you opt out within 30 days.

You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of an organization, you represent that you are authorized to bind it, and "you" refers to that organization.
The Service lets you upload, connect, and analyze financial and operational data and generate dashboards, forecasts, scenarios, briefings, and AI-assisted insights. We may modify, add, suspend, or discontinue features at any time. The Service is provided on an "as available" basis and we do not guarantee any level of availability, uptime, or that the Service will be free of interruptions.
The Service does not use individual user accounts: your workspace is held on your device and any subscription is tied to an anonymous device identifier. You are responsible for the devices you use with the Service, for activity carried out on them, and for the accuracy, legality, and quality of the Customer Data you provide. You agree to provide accurate information and to use the Service in compliance with all applicable laws. You are responsible for maintaining your own backup copies of your data; the Service is not a backup or record-of-authority service.
As between the parties, you retain all rights to the data you upload or connect ("Customer Data"). You grant Athena a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data solely to provide, secure, and improve the Service for you, including transmitting relevant portions to AI subprocessors as described in our Privacy Policy. You represent and warrant that you have all rights, permissions, and lawful bases necessary to upload the Customer Data and to grant this license, and that the Customer Data and our processing of it do not violate any law or third-party right.
We may generate aggregated and de-identified data from use of the Service and may use it for any lawful purpose, provided it does not identify you or any individual.
The Service uses artificial intelligence, including third-party models, to produce outputs ("AI Output"). AI Output is generated probabilistically and may be inaccurate, incomplete, outdated, or misleading, may "hallucinate" facts, and may not reflect your actual data or current conditions. You are responsible for reviewing and independently verifying AI Output before relying on it. We make no representation that AI Output is unique, and similar outputs may be provided to other users.
The Service and all AI Output are provided for informational purposes only and do not constitute financial, investment, accounting, auditing, tax, legal, or other professional advice, and are not a recommendation, solicitation, or offer to buy, sell, or hold any security or to enter into any transaction. Athena is not a financial adviser, broker-dealer, accountant, auditor, or fiduciary, and no fiduciary relationship is created by your use of the Service. You should consult your own qualified professionals before making any decision. You are solely responsible for any decision or action you take based on the Service or AI Output.
You acknowledge that financial analysis and forecasting are inherently uncertain and that decisions based on data and AI Output carry risk. You knowingly and voluntarily assume all risk arising from your use of the Service and any reliance on AI Output, and you agree not to use the Service as the sole basis for any material financial, legal, tax, medical, safety, or other high-risk decision.
You agree not to, and not to permit others to: - upload data you lack the right to use, or that is unlawful, infringing, or contains malware; - upload special-category, regulated, or highly sensitive personal data (e.g., health records, government IDs, full payment-card or bank-account credentials) except as expressly permitted by us in writing; - reverse engineer, decompile, scrape, or attempt to derive source code or the underlying models, except to the extent this restriction is prohibited by law; - resell, sublicense, rent, or provide the Service to third parties except as permitted; - interfere with, overload, probe, or disrupt the Service or its security, or circumvent any usage limits; or - use the Service to build a competing product, or in violation of any law, export-control, or sanctions regulation.
Parts of the Service are offered free of charge or as a free trial; full access requires a paid Aegis BI Pro subscription, sold as a monthly or yearly plan. Current prices are shown on the purchase screen before you buy, in your local currency where available, and you are responsible for applicable taxes.
Auto-renewal. Subscriptions are auto-renewable. Your subscription renews automatically for the same period at the then-current price, and your payment method is charged within 24 hours before the current period ends, unless you cancel at least 24 hours before that period ends. Cancelling stops future renewals; you keep access until the end of the period you have already paid for.
How to cancel. - Purchases made in the Aegis BI app for iPhone, iPad, or Mac are billed through your Apple ID and are managed and cancelled in your Apple ID's subscription settings. Deleting the app does not cancel a subscription. - Purchases made on the web are billed by Stripe and can be cancelled at any time from the Account page in the Service.
Free trials. Where a free trial is offered, any unused portion is forfeited when you purchase a subscription. Unless you cancel before the trial ends, the trial converts to a paid subscription at the price disclosed at signup.
Usage limits on free and trial access. Free and trial access includes lower usage allowances than a paid subscription — for example, a cap on how many data sources you may keep connected at once and on the size of an individual file. The allowances that apply to you are shown in the Service at the point you reach them. We may change these allowances; we will not reduce the allowances of an active paid subscription during a period you have already paid for.
Refunds. Except where required by law or expressly stated, fees are non-refundable and there are no refunds or credits for partial periods. Refunds for purchases made through the App Store are handled by Apple, not by Athena — request them at reportaproblem.apple.com under Apple's refund policy. For web purchases, contact info@athenadatalabs.com.
Price changes. We may change fees prospectively. Where a change affects a renewal, we will give notice and, where required, obtain your consent before the new price takes effect; you may cancel before renewal if you do not agree.
The Service, including the Glaukos engine, software, models, designs, and all related intellectual property, is and remains the exclusive property of Athena and its licensors. Except for the limited right to use the Service under these Terms, no rights are granted to you. The "Aegis BI," "Glaukos," and "Athena Data Labs" names and logos are our marks and may not be used without permission. If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.
The Service integrates third-party services (including our AI provider, Anthropic, and cloud infrastructure providers). Your use of those features may be subject to the third party's terms, and we are not responsible for third-party services, their availability, or their acts or omissions.
THE SERVICE AND ALL AI OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by law, Athena disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties regarding accuracy, reliability, availability, security, or that the Service will be uninterrupted or error-free. No advice or information obtained from the Service creates any warranty not expressly stated in these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATHENA AND ITS OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, OR FOR ANY INVESTMENT, TRADING, OR BUSINESS DECISIONS, ARISING OUT OF OR RELATED TO THE SERVICE OR AI OUTPUT, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ATHENA'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO ATHENA FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN AND APPLY EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
You will defend, indemnify, and hold harmless Athena and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service; (c) your violation of these Terms or any law; or (d) your violation of any third-party right.
These Terms apply while you use the Service. You may stop using the Service at any time. We may suspend or terminate your access at any time, with or without notice, including for violation of these Terms, suspected unlawful or harmful activity, or to protect the Service or other users. Sections that by their nature should survive (including 4–14 and 16–22) survive termination.
We may update these Terms from time to time. We will post the updated version with a new "Last updated" date and, where required, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Michigan, U.S.A., without regard to conflict-of-laws rules, and excluding the U.N. Convention on Contracts for the International Sale of Goods.
Informal resolution first. Before starting a formal proceeding, you agree to try to resolve the dispute informally by emailing info@athenadatalabs.com; we will try in good faith to resolve it within thirty (30) days.
Binding individual arbitration. Except for the matters described below, any dispute arising out of or relating to these Terms or the Service will be resolved by final and binding arbitration on an individual basis, administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, rather than in court. The arbitration will be seated in Kent County, Michigan, U.S.A. (or conducted by videoconference), and judgment on the award may be entered in any court of competent jurisdiction.
Exceptions. Either party may (a) bring an individual claim in small-claims court, and (b) seek injunctive or other equitable relief in court for actual or threatened infringement or misuse of its intellectual property or confidential information. For any dispute not subject to arbitration, the exclusive venue is the state and federal courts located in Kent County, Michigan, U.S.A., and you consent to their personal jurisdiction.
Jury and class-action waiver. TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL AND TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. If this class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court, and the remainder of this Section still applies.
30-day opt-out. You may opt out of this arbitration agreement by emailing info@athenadatalabs.com within thirty (30) days of first accepting these Terms; opting out will not affect any other part of these Terms.
Time limit. Any claim must be brought within one (1) year after it arises, or it is permanently barred, except where applicable law prohibits such a limit.
You consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement that a communication be in writing. Because the Service has no user accounts, we provide notices in the Service itself (or, where you have contacted us, by reply to the email address you used); notices to us must be sent to info@athenadatalabs.com.
These Terms, together with the Privacy Policy, are the entire agreement between you and Athena regarding the Service and supersede prior agreements on the subject. If any provision is held unenforceable, it will be limited or severed and the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Except for Apple Inc. and its subsidiaries as described in Section 21, there are no third-party beneficiaries. Neither party is liable for delays or failures caused by events beyond its reasonable control (force majeure). Section headings are for convenience only.
This Section applies only if you obtained the Aegis BI application from the Apple App Store (the "Licensed Application"), and controls over any conflicting provision elsewhere in these Terms as to that application.
- These Terms are between you and Athena only, not with Apple. Athena — not Apple — is solely responsible for the Licensed Application and its content. - Scope of licence. We grant you a non-transferable licence to use the Licensed Application on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that it may be accessed by other accounts via Family Sharing or volume purchasing. - Maintenance and support. Athena is solely responsible for any maintenance and support, at info@athenadatalabs.com and support@athenadatalabs.com. Apple has no obligation whatsoever to furnish any maintenance and support services for the Licensed Application. - Warranty. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the Licensed Application. If it fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price; Apple has no other warranty obligation, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are Athena's sole responsibility. - Product claims. Athena, not Apple, is responsible for addressing any claims by you or a third party relating to the Licensed Application or your possession and use of it, including product liability claims, any claim that it fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation. - Intellectual property claims. In the event of a third-party claim that the Licensed Application or your possession and use of it infringes that party's intellectual property rights, Athena, not Apple, is solely responsible for the investigation, defence, settlement, and discharge of that claim. - Legal compliance. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties. - Third-party beneficiary. Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple has the right (and is deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
